Update: Erroneous postcard mailings to PA limited partnerships

PA Department of State recently – and incorrectly - sent Annual Registration notices to PA LPs

Herbein has learned limited partnerships (either domestic or foreign LPs), registered in Pennsylvania recently received a postcard mailing from the PA Department of State’s Bureau of Corporations and Charitable Organizations notifying them of the obligation to file a Certificate Annual Registration (CAR).

As explained in this Notice to all Limited Partnerships regarding mailing issue, the notifications were intended to only be sent to Limited Liability Partnerships (both domestic and foreign LLPs) that have specifically registered for limited liability. However, the CAR notifications were also inadvertently sent to domestic and foreign LPs that have not registered for limited liability.

Important: PA LPs that have not registered for limited liability can ignore the CAR notification

The Notice to all Limited Partnerships regarding mailing issue clarifies that Limited partnerships that do not have limited liability status are not required to file a CAR and should ignore the postcard.

Pennsylvania began allowing Limited Liability Partnerships in 2001, and these entities are often professional service firm general partnerships that registered for limited liability under applicable PA statute.
